THAN (Thompson-Hayward Chemical Company)

THAN is a limited liability company organized under the laws of Delaware with its principal place of business in Lenexa, Kansas. THAN is a subsidiary of Philips Electronics North America Corporation (“PENAC”), which in turn is a subsidiary of Koninklijke Philips Electronics N.V. (“Philips”), a Dutch corporation.

THAN was formed in 1998 and is the successor by merger to TH Agriculture and Nutrition, Inc., formerly known as Thompson-Hayward Chemical Company (“THCC”), originally incorporated as Thompson-Munro-Robbins Chemical Co in January 1917.

THCC did not mine asbestos. THCC did not manufacture asbestos-containing products. However, on behalf of Carey-Canadian Mines, Ltd. (also currently in bankruptcy) THCC distributed to portions of the United States various grades of chrysotile asbestos fibers. Those distributions all occurred between April 1, 1960, and June 1, 1980.

The asbestos made its way into various cements, joint compounds, paints and sealers under various brand names. THAN also distributed laundry products and vermiculite that it said may have contained asbestos. Consequently, the company was named in thousands of asbestos liability lawsuits.

On November 24, 2008 THAN filed a voluntary petition for relief under Chapter 11 of the United States Bankruptcy Code.
